Incorporation

Can a foreigner own 100% of an IFZA company?
Yes. IFZA allows 100% foreign ownership with no local shareholder, sponsor or service agent.
What is the process for forming an IFZA company?

What documents do I need to provide for an IFZA company?
Each shareholder and company member verifies through a secure identity link we email them: a valid passport, a proof of residential address no older than 6 months, a photograph for visa and the front page of your passport. A beneficial owner holding 25% or more also provides a home country ID.
How many shareholders and directors can an IFZA company have?
Every IFZA company appoints four positions: Shareholder, Director, General Manager and Secretary - one person can hold all four. Exactly one General Manager is allowed, and their name appears on the license. Up to 10 individual shareholders are supported; three are included, each additional one is AED 350. Corporate shareholders need our team.
How many business activities can I include?
Three are included and up to seven can be combined under one license, at AED 1,000 for each activity above three. Activities come from IFZA's official list, and company names must relate to an activity - names cannot include words like Group, Online or Middle East, country names or government authority names.
How is the share capital determined?
There is no minimum share capital, and the minimum value per share is AED 10. Up to AED 150,000 of capital requires no proof of funds; above that, the funds must be shown in a UAE bank account. We suggest AED 50,000 per shareholder for up to three shareholders, which keeps you at the AED 150,000 proof-of-funds ceiling.

Taxation

Is there corporate tax on an IFZA company?
The UAE levies 9% federal corporate tax on taxable income above AED 375,000. An IFZA company that meets the Qualifying Free Zone Person conditions pays 0% on qualifying income and 9% on non-qualifying income from the first dirham - the nil band does not apply to a QFZP. A company not claiming QFZP status with revenue up to AED 3,000,000 can instead elect Small Business Relief, currently available for tax periods ending on or before 31 December 2029. Every company registers with the Federal Tax Authority within three months of incorporation - late registration carries an AED 10,000 penalty.
What income qualifies for the 0% rate?
The qualifying list includes manufacturing, processing, logistics, holding of shares and securities, fund and wealth management, headquarter and treasury services to related parties, ship operation, reinsurance and aircraft financing, plus transactions with other free zone entities. Distribution qualifies only from a Designated Zone, which IFZA Silicon Oasis is not. Consultancy and professional advisory work is not on the list, so that income is taxed at the standard rate.
What happens if the QFZP conditions are breached?
Breaching any condition - for example exceeding the non-qualifying revenue threshold, the lower of AED 5,000,000 or 5% of revenue - costs QFZP status for the current tax period and the four following ones. Companies claiming QFZP status must also file audited IFRS financial statements.
Is there VAT?
Yes, on the same terms as any UAE company. IFZA Silicon Oasis is not one of the VAT Designated Zones listed in Cabinet Decision No. 59 of 2017, so there is no designated-zone relief: 5% VAT applies to taxable supplies, exports outside the UAE are generally zero-rated, and registration is required once taxable turnover exceeds AED 375,000.

Visas & residence

How do the residence visas work?
Your license carries the visa allocation you chose, from 0 to 10, and the mandatory Establishment Card is included with every visa package for the first year. Each visa is a 2-year renewable UAE residence permit. Visa applications begin only after the license is issued, from your company page. Anyone who already holds an active UAE visa must contact us before applying - this route is for applicants outside the country.
Do I need to travel to the UAE?
Not to form the company. A visa holder enters the UAE after their entry permit is issued - within 60 days - for the medical test and Emirates ID registration. Entering on another basis before the permit is issued gets the application rejected and carries a fine. The Emirates ID typing fee and the medical test, AED 400 each, are paid directly at the typing and medical centres, not to us.
Can I sponsor my family?
Yes, once your own residence visa is issued and your employment contract states a monthly salary of at least AED 4,000, or AED 3,000 plus accommodation provided by the employer. Each dependant needs their own health insurance.

Annual compliance

What does an IFZA company have to do each year?
Renew the trade license with IFZA, keep the UBO and shareholder registers current - changes are reported within 15 days under Cabinet Decision No. 109 of 2023 - maintain accounting records, and file the corporate tax return with the Federal Tax Authority within 9 months of the financial year end.
What happens if the license is not renewed on time?
Operating on an expired license carries fines and restrictions, and prolonged non-renewal can end in suspension, cancellation or strike-off. We track the renewal date and remind you ahead of it.
