Yes. Foreign individuals and non-UK residents can own 100% of a UK limited company. There is no requirement for shareholders or directors to be UK residents, although the company must maintain a registered office address in the United Kingdom.
What are the minimum requirements to incorporate a UK company?
A UK private limited company requires at least one director, one shareholder, and a registered office address in the United Kingdom. The same person may act as both director and shareholder. The company must also appoint at least one Person with Significant Control (PSC), where applicable, issue at least one share, and select an appropriate Standard Industrial Classification (SIC) code that reflects its business activities.

Taxation

How are UK companies taxed?
UK companies are subject to Corporation Tax on their taxable profits. The current rates are 19% on profits up to £50,000, 26.5% on profits between £50,000 and £250,000, and 25% on profits above £250,000. The applicable tax rate may vary depending on factors such as associated companies, while certain allowances and deductible expenses may also affect the amount of Corporation Tax payable.
Do UK companies need to register for VAT?
VAT registration is required when a company's taxable turnover exceeds £90,000 over a 12-month period. However, not all goods and services are subject to VAT, and certain sales outside the UK may not count towards the registration threshold. Companies below the threshold may also choose to register voluntarily, depending on their circumstances.

Late filing of annual accounts or submitting a Confirmation Statement will result in the loss of the company's good standing. Continued non-compliance may ultimately lead to the company being struck off the Companies House register.
